This project involved a reorganization of a global, corporate group in the retail sports-wear industry into a Switzerland-based holding company structure.

It was a complex project involving a number of challenging issues around Switzerland corporate and tax processes as well as Australian matters.

Specific responsibilities included:

• Preparing and managing the overall project, with advice from tax and legal advisors in Australia and Switzerland;
• Assisting with the transaction structure to comply with tax rollover concessions;
• Reviewing and advising on the corporate documents for the new Swiss holding company;
• Preparing and advising on corporate processes for the Australian company, approvals required and related.
