Pro bono project for Cambodian government advising on development of its first ever stock exchange

Eagle Corporate Advisers Pty Ltd (ECA) signed a Memorandum of Understanding (MoU) with the international development agency, Australian Business Volunteers (ABV) in connection with a project for the Cambodian government. 

With ABV to assist with the development of Cambodia’s first-ever securities market, this MoU allowed ECA to contribute legal and market research support to the Cambodian government for the duration of the project. This was particularly important in matters of corporate and securities law that were relevant to recommendations for legislative requirements. 

“ABV possesses great talent and ability in managing what was a complex project,” said Brett R. Our challenge at the end of the day was to advance the interests of the nation in both local and global markets, and that’s exciting.”

Our research covered many international markets to provide a comparative assessment for the Cambodian government to then tailor the best solutions for their own market and objectives.

It was a rare opportunity to look behind the rules and regulations that govern a capital market (rather than trying to guide in interpreting them) and ask, ‘Why?’ ‘What’s the purpose of the regulations and how effective are they at providing a solution to the issue being addressed?’ ‘What do other countries do?’

We reviewed and advised on such matters as the compliance requirements for securities trading and advisory businesses and/or market makers, minimum capital requirements for such parties, licensing and operating rules for those wanting to operate a stock exchange, policies around dual listing approvals, anti-money laundering rules and other matters.
